AFFILIATE SERVICE AGREEMENT

This Agreement is entered into between

THE AFFILIATE 

(hereinafter referred to as "Affiliate" or "you")

and 

ADSù

(hereinafter referred to as ”Adsù”, "us or "we")

PREAMBLE

  1. Adsù is a Technology Platform which seeks to introduce advertisers and distributors of products to affiliate marketing companies and individuals for the purpose of promoting the advertisers or distributor’s products and/or services.
  2. The technology used by Adsù is run on a self-service basis.
  3. The Affiliate may be a single user, or a representative of a larger organisation that wishes to utilise Adsù technology platform to promote products and/or services from an Advertiser in order to earn a commission for a specified action.
  4. The Affiliate will be required to enter into a separate agreement with the Advertiser to adhere to its specific requirements in relation to the brand and advertising policies, the contents of such will be the Advertisers responsible and the Affiliate is responsible for ensuring that he/she/it understands the content and requirements thereof.
  5. Adsù will provide access to its platform to the Affiliate and the Affiliate shall utilise the platform on the terms and conditions contained within this Agreement.
  1. DEFINITIONS
Adsù Shall refer to the trading name of the Company duly registered in terms of the laws of England & Wales known as Adtech Media Limited (Company Number 11139927) with registered offices at Sunderland Software Centre, Tavistock Place, Sunderland, SR1 1PB.
Affiliate Shall refer to a marketing affiliate who is signed up to the Adsù platform and agrees to promote an Advertisers products and/or services.
Affiliate Dashboard Is the specific area of the Adsù website that provides information and statistics on the Affiliates performance.
Affiliate Link A specific internet link that contains the affiliates Adsù username. All internet traffic through these links is regarded as being supplied by an affiliate.
Advertiser An individual or business that chooses to promote their own products and/or services on the Adsù platform.
Advertiser-Affiliate Agreement This shall refers to the set of terms and conditions acknowledged by an Affiliate and the Advertiser which are set by the particular Advertiser which includes but shall not be limited to: Payment Terms, Advertising Policies, Product Claims, Disclosure Agreements & Promotional Limitations.
Campaign Shall refer to a Campaign created by an Advertiser on the Adsù platform to promote a specific product and/or service.
Marketplace This will be the area of the Adsù website dedicated to listing the available Campaigns an Affiliate can choose to promote.
Payout Rate The Payout Rate or Affiliate Payout is either the revenue share percentage (in the case of revenue share campaigns) or the fixed fee (in the case of CPA or CPL campaigns) that the Advertiser agrees to pay to the Affiliate for each authentic completed action.
Private Affiliate Payout A Private Affiliate Payout is a modified Payout Rate agreed between an Advertiser and Affiliate that differs in some way from the Campaign’s default Payout Rate.
  1. COMMENCEMENT
    1. This Agreement shall come into force when the Affiliate clicks on the ‘Create My Affiliate Account’ button and completes the sign-up process.
    2. The Agreement shall remain in effect unless terminated in accordance with the provisions contained within this Agreement, or by any breach of the terms of this Agreement.
    3. Either party may terminate this Agreement upon giving at least 30 (THIRTY) calendar days written notice in advance to the other party.
    4. Following termination, any traffic that passes through an affiliate link of the terminated account will be handled at the related Advertiser's discretion, or blocked completely by Adsù in its discretion. 
    5. This Agreement makes reference to the Advertiser-Affiliate Agreement which the Affiliate must also be aware of and accept in order to promote campaigns on the Adsù platform. 
  2. BECOMING AN AFFILIATE
    1. In order to register as an Affiliate, the following information is required:
      1. Username: A unique identification for the Adsù platform, which  will be used in affiliate links.
      2. Password: This shall be used to access the Adsù platform and must be kept secure at all times.
      3. First Name: Your first name (or given name) as it is on your birth certificate or similar identification. Nicknames or pseudonyms are expressly prohibited.
      4. Last Name: Your surname (or family name) as it is on your birth certificate or similar identification. Nicknames or pseudonyms are expressly prohibited.
      5. Email Address: A valid contact email address is required which the Affiliate has access to.
      6. Country: Your country of residence.
      7. Mobile: A valid mobile phone contact number for the Affiliate.
      8. Account Holder Name: A Adsù or payee name that is on the Affiliates bank account. The Beneficiary Bank account number must be the same as the legal party with whom Adsú has contracted with as an Affiliate.
      9. Address: A full valid physical address is required containing the state/county/province and postal code of the Affiliates current residence.
      10. Date of Birth: The Affiliates date of birth, as identified on a birth certificate or similar identification.
    2. If the Affiliate is approved onto the Adsù platform, all the information that is provided in terms of clause 3.1 must be accurate and true at the time of submission. It is the sole responsibility of the Affiliate to keep all user account information up to date. Failure to provide accurate information may result in account termination as referred to in clause 9.
    3. Adsù shall consider all applications, however the final approval and acceptance of an Affiliate is at the sole discretion of Adsù and Adsù reserves the right to refuse applications. 
    4. The Affiliate consents to Adsù using the Affiliate’s details and Personal Data for the purposes of carrying out any checks that it considers to be necessary to confirm the identity of the Affiliate, its suitability for (and the suitability of the Affiliate Website) for the the Adsù Affiliate Program and any other matter which is connected to the Affiliate’s application and, where subsequently accepted by Adsù, is connected to its activities and role as a Adsù Affiliate.
    5. The Affiliate accepts that Adsù may pass on any/all of this data to an Advertiser to give that Advertiser the ability to assess its suitability for (and the suitability of the Affiliate Website) for their Campaigns.
    6. By submitting the application form, the Affiliate agrees to the terms and conditions of this Agreement. 
    7. At the time of registration, the Affiliate will select a login and password which will enable the Affiliate to gain access to the resource area of the Adsù Website which is dedicated to the Affiliate and is referred to as “the Affiliate Dashboard").
    8. If the Affiliate is accepted onto the Adsù platform they will be required to complete a “Know Your Customer” (hereinafter referred to as “KYC”) validation. This shall involve the submission of 2 forms of valid compliance documentation from the following lists (1 from each):
      1. Photo Identification
      2. Passport
      3. Driving Licence
      4. Government Issued Identification Card (some regions exempt)
      5. Address Verification:
        1. Utility Bill (on letter headed paper and dated within the last 3 months)
        2. Bank Statement (on letter headed paper and dated within the last 3 months)
        3. Adsù Registration Document (if payments will be made of a Adsù instead of an individual)
    9. KYC Documentation is held privately by the Adsù and will be reviewed and assessed by the compliance teams who have full discretion on evaluating whether documentation provided is both genuine and accepted. Adsù reserves the right to request further documentation in any specific Affiliate case.
    10. When accessing available Campaigns in the Affiliate Dashboard section known as the Marketplace the Affiliate will be presented with the opportunity to review the Advertiser-Affiliate Agreements, by choosing to promote any Campaign the Affiliate is deemed to have read and accepted these terms and conditions which shall be binding upon both the Affiliate and the related Advertiser.
    11. An Affiliate can upgrade their account to VIP status after a once off payment. This provides them with priority email and Skype support along with access to strategy guides about online marketing.
  3. ADVERTISER-AFFILIATE AGREEMENTS
    1. Upon choosing a Campaign to promote from the Adsù Marketplace the Affiliate is deemed to have accepted the Advertiser-Affiliate Agreements for that Campaign.
    2. The Advertiser-Affiliate Agreements are between the Advertiser, the creator or owner of the campaign and the Affiliate. 
    3. Adsù shall not be responsible for breaches of the terms and conditions on these Agreements, nor shall Adsù be responsible for any claims, promises, agreements or compensations offered for any activity that is tracked through the Adsù Platform.
    4. The specific terms for each campaign including but not limited to payout amounts, payout dates, void and refund terms, private affiliate payouts and CPS percentages will be set by the Advertiser and are the sole responsibility of the relevant Advertiser.
    5. The Adsù Advertiser-Affiliate policy can be found on the Adsù website.
  4. FEES & PAYMENTS
    1. The Affiliate shall earn Payouts for sales made through a campaign as outlined in the Advertiser-Affiliate Agreement. 
    2. All agreements of funds for sales are between the Advertiser and the Affiliate and are specifically laid out in the Advertiser-Affiliate Agreement. 
    3. There are three possible Campaigns:
      1. Cost Per Action (CPA): Cost Per Action campaigns typically payout to an Affiliate when a specific action is completed on the Advertisers website by a visitor sent to the site by the Affiliate, usually related to the sale of a product/service. CPA sales are subject to the sales verification process (outlined in clause 6), at Adsù’s discretion and the void process at the Advertisers discretion. While refund and voiding of payments is possible (at either the Advertiser or Adsù’s discretion) sales are not automatically reversed on a customer refund.
      2. Cost Per Lead (CPL): Cost Per Lead Action campaigns typically payout when a visitor provided by the Affiliate submits information to the Advertiser through their site. CPL sales are subject to the sales verification process (outlined in clause 6) at the Adsù’s discretion and the void process at the Advertisers discretion. While refund and voiding of payments is possible (at either the Advertiser or the Adsù’s discretion) sales are not automatically reversed on a customer refund.
      3. Cost Per Sale (CPS): Cost per Sale campaigns offer to pay a percentage share (determined in the Advertiser-Affiliate Agreement) to the Affiliate when a visitor purchases a product or service through the Advertiser’s Campaign. Unlike CPA or CPL campaigns, customer refunds and/or  chargebacks will be automatically reversed. Additional actions may also be reversed by the Advertiser as per the Advertiser-Affiliate Agreement.
    4. In order for a payment to be issued, the following must be in order for each account the Affiliate controls or the payment will not be made on that account:
      1. The amount due exceeds the minimum payment threshold of $250.00 (USD);
      2. The Account status is “Active";
      3. Compliance documents have been provided, verified and approved at Adsù’s discretion;
      4. The Affiliate has made at least 5 (FIVE) actions and their sales methods have been verified at Adsù’s discretion;
      5. The commissions have been held as per the payment terms of Advertiser-Affiliate Agreement; and
      6. The Affiliate Account is registered to the same individual that payments are being issued to.
    5. If Adsù has any evidence (determined at its discretion) that an Affiliate has breached the terms and conditions of this Agreement and/or the Advertiser-Affiliate Agreement then Adsù reserves the right to withhold payments until the situation has been fully investigated. The Affiliate is therefore made aware that this may ultimately result in the termination of the account and indefinite suspension of the funds. Neither Adsù nor the Advertiser will be liable (financially or otherwise) for any loss incurred by the Affiliate as a result of this decision.
    6. Adsù does not usually apply a fee to Affiliate Payouts (provided that the statements in clause 5.2 are true and correct) however there may be third party payment provider fees and charges. By accepting this Agreement the Affiliate acknowledges the fees and charges and accepts to be solely responsible for these. Neither Adsù nor the related Advertiser will be liable or responsible in any way to pay the fees of third party payment providers on behalf of an Affiliate.
    7. Should the Affiliates account be closed for any reason with a positive balance and if the statements in clause 5.2 are true and correct, the Affiliate may be, at Adsù’s discretion, eligible for a payout of the remaining fees. In this situation, Adsù will apply an administration fee to the payout to be determined at the sole discretion of Adsù.
    8. Should the Affiliate’s account be inactive for more than 6 (SIX) months and neither invoice, nor request any payables to the said affiliate, then the affiliate waives any claims to previous commissions due and payable.
    9. Payment of funds is subject to the Advertiser-Affiliate Agreement and the Affiliate will only be paid when the relevant Advertiser has funded their account. Adsù will not be responsible for any lack of funding by the Advertiser.
    10. No payout shall be payable to the Affiliate for any actions which occur by visits made to the Campaign by a link which is not the Affiliates Link and/or by visits made to the Campaign other than via the Affiliate Link, even if those customers have followed the Link previously. This shall be applicable, unless the visitor followed the Link within the requisite number of days prior to the transaction, as notified to the Affiliate on the Adsù Website Affiliate’s Dashboard.
    11. No payout shall be payable to the Affiliate for any customers or actions secured otherwise than in accordance with the terms of this Agreement and/or for any customers or transactions which are not genuine and/or which involve use of fraudulent means, including but not limited to any of those methods set out in clause 6. If a Commission has been paid to the Affiliate before Adsù became aware of the circumstances giving rise to this clause, the provisions of clause 5.11 shall apply to enable Adsù to recover all Commissions paid to the Affiliate for customers or transactions referred to in this clause.
    12. In the case of evidence being provided that the Affiliate has been paid out for fraudulent, spam or falsified traffic, Adsù will issue an invoice for monies owed. 
    13. Adsù reserves the right to withhold future payments to an Affiliate should monies be owed in terms of clause 5.13 above.
  5. ADVERTISER SPONSORED ADVERTS, BANNERS AND NEWSLETTERS
    1. Adsù provides the Advertiser Sponsored Adverts, Banners and Newsletters as a free service to our valued Vendors and Affiliates. 
    2. The contents of all material made available via the Sponsored Adverts Banners and Newsletters are provided solely by the individual Advertiser and not by Adsù. 
    3. The Sponsored Adverts, Banners and Newsletters are intended to help Advertisers provide Affiliates with information about their products and promotions. 
    4. While Adsù requires Advertisers using the Sponsored Adverts, Banners and Newsletters to present only accurate and reliable information, Adsù does not independently review or verify information submitted by Advertisers for accuracy, completeness, efficacy, or timeliness. 
    5. Adsù does not guarantee, or assume any responsibility or liability for, the accuracy, completeness, efficacy, or timeliness of any such information nor is it responsible for any bonuses, prizes, or other incentives offered by Advertisers. 
    6. The Affiliates use of any information presented by an Advertiser is voluntary, and the Affiliates reliance is at its own risk.
    7. Adsù’s publication of any information, statements, or claims via Sponsored Adverts, Banners and Newsletters does not constitute its endorsement of any Advertiser, Product, or incentive.
  6. SALES VERIFICATION, TRUST SCORE & FRAUD
    1. All Affiliate accounts are subject to evaluation via the sales verification process and the Adsù Trust Score. 
      1. By accepting this Agreement the Affiliate acknowledges the existence of both these processes and grants Adsù full discretion in administering them with application to their Affiliate account.
      2. The Trust Score system used by Adsù is a point based metric which considers different aspects of the Affiliate’s account in order to determine how reliable the Affiliate is. 
      3. Affiliates can increase their Trust Score by completing a variety of activities including but not limited to: completing compliance documentation verification; maintaining a low void/refund rate; possessing an active payment service provider account; maintaining consistent account activity; and/or averaging earnings of at least $1000 for 4 or more weeks consistently.
      4. Advertisers can use the Trust Score to prevent Affiliates promoting their campaign at their own discretion as per the Advertiser-Affiliate Agreement.
      5. Affiliates can view their own Trust Score in the “My Account" section of the Adsù website.
    2. All Affiliate accounts shall be subject to a Sales Verification Process. 
      1. The first instance of this will occur after the Affiliate has made their first 5 sales or actions but subsequent Sales Verifications may be applied at Adsù’s discretion without limitation.
      2. The Affiliate may be required to provide evidence to the Adsù compliance team of how and where they have been promoting a specific Campaign. Evidence requested may include, but is not limited to: website URLs, screenshots of ad placements, URLs of associated blog or social media accounts, email templates and email list sizes.
      3. The information, or any lack thereof, will be taken into account on a case by case basis by the Adsù Compliance Team. If any of this information appears to be in breach of either this Agreement or the Advertiser-Affiliate Agreement, the Affiliates account may be suspended or terminated as outlined in clause 9.
      4. All evaluation of the information is performed solely at the Adsù’s discretion and by accepting this Agreement, the Affiliate grants Adsù sole permission to decide what does and does not constitute a breach of this Agreement or the Advertiser-Affiliate Agreement.  Adsù may consult with both the Affiliate and the Advertiser to make the best decision but will not be liable (financially or otherwise) for the outcome of this decision.
      5. All information provided to the Compliance Team must be accurate to the best of the Affiliates knowledge, if any information is found to be false or purposeful misleading, the Affiliate will be in breach of this Agreement which could result in account suspension or termination as outlined in clauses 7 and 9.
    3. Any actions, clicks or sales that are sent by an Affiliate that are deemed as Fraudulent by either the Advertiser (as per the Advertiser-Affiliate Agreement) or Adsù, will be voided within the Adsù platform. 
    4. The Affiliate will not be paid out for these actions and by accepting this Agreement the Affiliate grants the Advertiser and the Adsù unlimited capacity to use the information available and allocate a Fraud status to any/all actions performed through the Adsù Platform. 
    5. Neither Adsù nor the Advertiser will be liable (financially or otherwise) for any loss incurred by the Affiliate as a result of this decision.
    6. By accepting this Agreement, the Affiliate grants Adsù the right to pursue recovery of any funds already paid out that are subsequently identified as fraud in this Agreement. 
    7. In the case of fund recovery being necessary, Adsù may deduct funds from the Affiliates current balance, raise a separate invoice, which should be paid in 30 days, or pursue legal action to recover unpaid funds. 
    8. The Affiliate will be liable for the payment/recovery of these funds without exception.
  7. ACCOUNT SUSPENSION AND TERMINATION
    1. The Affiliates account may be suspended or terminated should there be any breach of this Agreement or the Advertiser-Affiliate Agreement.
    2. Adsù further reserves the right to terminate an account at any time without limitation. 
    3. The most common causes for this are highlighted in the sub-clauses below:
      1. Adsù is made aware that the Affiliate has supplied any false information during the sign-up process;
      2. Adsù determines (at its sole discretion) that fraudulent actions have originated from the Affiliate’s account;
      3. An unpaid invoice is held against the Affiliate’s account for voided fraudulent activity;
      4. The Affiliate was not reachable on the provided contact information in the Affiliate’s account;
      5. The Affiliate failed to complete the KYC compliance steps;
      6. The Affiliate was reported to be breaking any local, international or other applicable laws or regulations in the process of the promotions of a campaign;
      7. The Affiliate has breached or is suspected of breaching the content restrictions as part of the Advertiser-Affiliate Agreement;
      8. The Affiliate has a high chargeback or refund rate;
      9. The Affiliate has displayed abusive behaviour to any member of the Adsù staff or other members of the Adsù community including any Advertisers and Affiliates;
      10. Should the Affiliate use any unethical or inappropriate promotional methods (promoting to children, illegal promotional methods, explicit/violent material etc.)
    4. On Suspension or Termination of the Affiliate’s account the functionality may be restricted, these include but are not limited to; no longer being able to access the Affiliate Dashboard, the redirecting or disabling of Affiliate Links, the deletion of data stored within the affiliate account, the ability to contact the Adsù Support Team, and/or the suspension of the Affiliate’s VIP access details.
    5. Any funds accumulated inside the Affiliate account at the point of account termination will be lost. 
    6. Adsù will accept no reasonability, financially or otherwise, for the loss of these funds or any related losses that come as a result of the account being terminated.
    7. In specific cases (to be determined at Adsù’s sole discretion) Adsù may allow suspended accounts funds to be paid out to the Affiliate, but in these cases, Adsù will charge an administration fee for the payment which shall be agreed by the Affiliate at the time of payout.
    8. In the case that Adsù closes an Affiliate’s account, any associated Affiliate accounts will also be closed and should they contain any positive funds then clause 7.5 will also apply to those accounts.
  8. TERMINATION OF THIS AGREEMENT 
    1. This Agreement shall commence when the Affiliate creates a new account as laid out in Clause 2.
    2. Either Party may terminate this Agreement on 14 (FOURTEEN) days written notice to the other Party. 
    3. Terminating this Agreement will result in the termination of the Affiliate account and the loss of any funds currently held within it as outlined in clause 7.
    4. Adsù may immediately terminate this Agreement should the Affiliate commit any of the following:
      1. Breach the terms and conditions of this Agreement (and if remediable, the breach has not been remedied within 14 days of receiving notice requiring it to be remedied). For the purposes of this Agreement any breach of clauses 3, 4, 5 or 6 shall be breaches which are not capable of remedy and shall entitle Adsù to terminate this Agreement with immediate effect.
      2. Cease or threaten to cease to carry on business.
      3. If the Affiliate is declared or becomes insolvent or bankrupt, has a moratorium declared in respect of any of its indebtedness, enters into administration, receivership, administrative receivership or liquidation or threatens to do any of these things, takes or suffers any similar action in any jurisdiction or any step is taken (including, without limitation, the making of an application or the giving of any notice) by it or by any other person in respect of any of these circumstances.
      4. The Affiliate may not breach any terms under the Campaigns related Advertiser-Affiliate Agreement.
      5. Should the Affiliate be found in any way to be committing, facilitating or taking part in any fraudulent or illegal activity both on and off the Adsù platform to be determined at Adsù’s sole discretion, Adsù may take information, evidence or advice from any relevant third party in order to facilitate its  decision to terminate the Affiliates account.
      6. Should Adsù receive complaints from any regulatory bodies or third-party service providers that the affiliate account in question is perceived to be responsible for spamming, unwarranted emails, traffic behaviour or any other activity which Adsù may find suspicious, then Adsù may terminate this Agreement accordingly.
  9. LIABILITY
    1. Whether or not such losses were foreseeable or foreseen at the date of this Agreement, Adsù shall have no Liability to the Affiliate for any:
      1. loss of profits and/or damage to goodwill;
      2. pure economic and/or other similar losses;
      3. special damages;
      4. aggravated, punitive and/or exemplary damages;
      5. loss and/or corruption of data; and/or
      6. business interruption, loss of business, loss of contracts, loss of opportunity and/or production.
    2. Adsù shall hold no liability in any way for unpaid payouts that are due to be paid by an Advertiser. All missing payouts are covered by the Advertiser-Affiliate Agreement which is between the Advertiser and the Affiliate and does not include Adsù as a partner or member in any way.
    3. Each of the limitations and/or exclusions in this Agreement shall be deemed to be repeated and apply as a separate provision for each of: except the clause above placing financial caps on Adsù’s Liability which shall be deemed to apply once only to cover all of the said types of liability:
      1. Liability in contract (including fundamental breach);
      2. Liability in tort (including negligence);
      3. Liability for breach of statutory duty; and
      4. Liability for breach of common law and/or under any other legal business;
    4. Nothing in this Agreement shall exclude or limit the liability of either party for death or personal injury due to its negligence, liability for its fraud and/or any other liability which it is not permitted to exclude or limit as a matter of law.
    5. Adsù makes no express or implied representations or warranties regarding the Advertiser Campaigns or its availability or functionality and all implied warranties of merchantability and/or fitness for purpose are expressly disclaimed and excluded. 
    6. The Affiliate accepts that the operation of the Adsù Website may not be error free or uninterrupted and Adsù is not liable for the consequences of any interruptions or errors in the performance or content of the Adsù Website.
  10. LEGAL CONTENT
    1. The Affiliate is solely responsible for his/her website(s) and all its contents, and shall ensure that they conform at all times to all applicable laws and regulations of their own jurisdiction and the laws of England and Wales.
  11. COPYRIGHT / INTELLECTUAL PROPERTY
    1. Adsù owns all copyrights, trademarks, intellectual property rights, know-how or any other rights connected to the service or software necessary for the service, and includes all programming, creative, artwork and images supplied by Adsù or on behalf of Adsù. 
    2. The Affiliate does not acquire any rights or licences whatsoever under this Agreement.
  12. APPLICABLE LAW AND JURISDICTION
    1. Adsù shall not be liable for the legality of the Adsù service in countries other than England and Wales.
    2. The Advertiser is solely responsible for the legality of the use of the service if the Affiliate is registered to the Adsù service from a country other than England and Wales, or if the Affiliate website is on a server in another country.
    3. This Agreement and any dispute or claim arising out of or in connection with it or its subject matter or formation (including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of England and Wales.
    4. If any dispute arises out of this Agreement the parties will attempt to settle it by a mediation procedure as the parties may agree in writing.
    5. The Affiliates use of the Adsù platform is irrefutable acknowledgement by the Affiliate, and the Affiliate confirms that it has read and agreed to each and every term and provision of this Agreement.
    6. The Affiliate acknowledges that it is their sole legal responsibility to inform and enforce all geographically applicable laws relating to the sale, promotion and marketing of their products and/or services by Affiliates on the Adsù network. Any such limitation and laws should be visible in the Advertiser-Affiliate Agreement for each relevant Campaign.
    7. Adsù accepts no responsibility or liability (whether in contract, tort, negligence or otherwise) to repay any sums relating to the breach of the Advertiser-Affiliate Agreement by either parties, or for the failure of the Advertiser to properly research or implement said Agreement.
  13. AFFILIATE INFORMATION
    1. The Affiliate consents to the publication of the Affiliate’s name, web address and all other information provided by the Affiliate on the Adsù website and to Adsù sending newsletters and other communications to the Affiliates and using the information given by the Advertiser for marketing purposes. 
    2. The Affiliate confirms that, in order to enable Adsù to improve, promote or market the service, Adsù may produce statistics or summaries relating to the use of the service.
    3. Adsù may contact the Affiliate by email, telephone, by post, SMS or via social media network for feedback relating to the service, including any ways in which it might be improved, both for the Adsù network and for the individual Advertiser. All information collected is confidential and will be used solely for mutual benefit in any campaigns or promotions.
    4. The Affiliate is aware that under the applicable law, Adsù must hold copies of identity and compliance documents supplied by the Affiliate in their account along with compliance documents relating to any additional billing addresses listed in theAffiliate account. 
    5. Adsù will take all reasonable and legal steps to protect information and will release documents only to the relevant authorities under their request.
  14. GENERAL
    1. Adsù reserves the right to amend and update this Agreement from time to time and the Affiliate is responsible to check the website for updated terms and conditions.
    2. Should the Affiliate not accept or agree to changes, the Affiliate will be entitled to terminate the Agreement in terms of clause 9 of this Agreement.
    3. The Affiliate shall not assign, transfer, mortgage, charge, subcontract, declare a trust of or deal in any other manner with any of its rights and obligations under this Agreement without the prior written consent of Adsù (such consent not to be unreasonably withheld or delayed).
    4. Adsù may at any time assign, transfer, mortgage, charge or deal in any other manner with any or all of its rights and obligations under this Agreement. 
    5. Adsù may subcontract or delegate in any manner any or all of its obligations under this Agreement to any third party or agent.
    6. Adsù may disclose to a proposed assignee any information in its possession that relates to this Agreement or its subject matter, the negotiations relating to it and the other party which it is reasonably necessary to disclose for the purposes of the proposed assignment.
    7. No one other than a party to this Agreement, their successors and permitted assignees, shall have any right to enforce any of its terms.
